Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Bridge Social platform and services (“Bridge,” “we,” “us,” “our”). By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.
1. Overview of Services
Bridge provides an AI-powered communication and engagement platform for aging-service organizations, government agencies, nonprofits, caregivers, and community members. The Services may include:

SMS and web-based automated responses

AI-powered information, referral, event, and appointment scheduling

Broadcast messaging in multiple languages
-
Volunteer coordination tools
-
Analytics, reporting, and communication management features
-
Additional modules or enhancements released over time
The specific features available to you may depend on your organization’s individual agreement or subscription.
2. Acceptable Use
You agree to use the Services only for lawful purposes and in compliance with applicable federal, state, and local regulations. You may not:

Interfere with or disrupt the Services

Attempt unauthorized access to accounts, systems, or data

Transmit harmful, abusive, or unlawful content
-
Upload viruses, scripts, automated bots, or any harmful code
-
Reverse-engineer, decompile, or misuse the Services
-
Use the Services to harass, defraud, or mislead others
Organizations are responsible for configuring access, managing users, and ensuring their staff abide by these Terms.
3. Accounts and Access
Organizations (“Customers”) are responsible for:

Managing administrator access and staff permissions
-
Securing login credentials and devices
-
Ensuring that only authorized personnel access the platform
Bridge is not responsible for unauthorized access resulting from failure to secure credentials or accounts.
4. Customer Data
4.1 Ownership
Customers retain ownership of all data submitted to or generated within their instance of the Services.
4.2 Use of Data by Bridge
Bridge may process Customer data solely to:

Deliver and maintain the Services
Improve platform functionality -
Provide analytics and reporting
-
Ensure security and system integrity
Bridge may use aggregated or anonymized data for analytics and performance optimization.
Bridge does not sell Customer data or use Customer data to train public large language models.
4.3 End-User Communications
Messages sent by residents, caregivers, or program participants may be processed to support agency operations, automated responses, and service delivery. Customers are responsible for their compliance obligations related to such communications.
5. Privacy and Security
Use of the Services is also governed by:

Bridge Privacy Policy

Bridge HIPAA Policy (when applicable)
Bridge maintains industry-standard administrative, physical, and technical safeguards, including:

Encryption in transit and at rest
-
Access controls and permissions
-
Secure cloud hosting
-
Monitoring, logging, and audit capability
Customers may request a Business Associate Agreement (BAA) if required under HIPAA.
6. Service Availability
Bridge aims to provide reliable, continuous access to the Services. We may perform scheduled maintenance, updates, or improvements and will provide notice when practical.
Specific uptime commitments, support hours, and SLA terms are governed by the Customer’s individual service agreement or SOW, not by these public Terms.
7. Fees and Payment
Fees, invoicing terms, late fees, renewal terms, and expansion rights are defined in the Customer’s signed contract or Statement of Work (SOW). These Terms do not control financial or contractual obligations.
8. Intellectual Property
Bridge retains all rights, title, and interest in the platform, software, algorithms, documentation, and related materials. No rights are granted except those expressly provided in a Customer’s contract or license.
Customers receive a limited, non-exclusive, non-transferable license to use the Services during their subscription term.
9. Compliance
Customers are responsible for ensuring their use of the platform complies with relevant laws, including but not limited to:

HIPAA (if applicable)

TCPA and FCC regulations
-
Federal, state, and local privacy laws
-
Mandatory consumer rights frameworks
Bridge will comply with applicable laws relevant to operating the Services.
10. Suspension and Termination
Bridge may suspend or restrict access to the Services if a Customer or user:

Violates these Terms
-
Misuses the platform
-
Poses a security, operational, or legal risk
-
Attempts unauthorized system access
Contractual termination rights including notice periods, cure windows, and early termination rules are governed exclusively by the Customer’s signed agreement and not by these Terms.
11. Limitation of Liability
To the fullest extent permitted by law:

Bridge is not liable for indirect, incidental, consequential, or punitive damages

Bridge is not liable for data loss or SMS carrier failures
-
Bridge’s total liability is limited to the amount paid by the Customer under their contract in the previous 12 months
Nothing in these Terms limits liability caused by gross negligence or willful misconduct.
12. Governing Law
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflicts of law principles.
13. Updates to These Terms
Bridge may update these Terms from time to time. Updated versions will be posted on the Bridge website with a new “Last Updated” date. Continued use of the Services constitutes acceptance of the updated Terms.
